Terms of Service

1. Acceptance of these terms

These Terms of Service ("Terms") govern your access to and use of Latchpay ("Latchpay," "we," "us," or "our"), including our website, dashboard, and related services (collectively, the "Service"). By creating an account or otherwise using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

2. What Latchpay does

Latchpay connects to a Stripe account that you own and control. When Stripe reports a failed payment on that account, Latchpay records it, may send an automated recovery email to the affected customer on your behalf, and displays the status of each failed payment in your dashboard. Latchpay does not create charges, initiate transfers, or move money on your Stripe account — it only reads payment events and sends transactional emails related to those events.

3. Accounts

You must create an account to use the Service. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You must provide accurate information and promptly update it if it changes.

4. Connecting your Stripe account

To use Latchpay, you authorize us to connect to your Stripe account via Stripe Connect OAuth. This grants Latchpay read access to payment events and the ability to send recovery emails to your customers on failed-payment events — it does not grant Latchpay the ability to charge cards, issue refunds, or move funds. You can revoke this access at any time from your Stripe Dashboard, which will immediately stop Latchpay from receiving new events for that account.

5. Subscription and billing

Paid access to Latchpay is billed as a recurring subscription. Subscriptions are processed by Paddle.com Market Limited, our payment provider and merchant of record, which handles billing, invoicing, and tax collection on our behalf. Your subscription renews automatically until you cancel. You may cancel at any time from your account; cancellation takes effect at the end of the current billing period, and we do not provide partial refunds for unused time except where required by law.

6. Acceptable use

You agree not to:

  • Use the Service to send communications you are not legally permitted to send to your customers;
  • Connect a Stripe account you do not own or are not authorized to manage;
  • Attempt to interfere with, reverse-engineer, or disrupt the Service or its infrastructure;
  • Use the Service in a way that violates applicable law or the rights of others.

7. Your data and your customers' data

You retain ownership of the data associated with your account, including the failed-payment records synced from your Stripe account. Where that data includes personal information about your customers (such as an email address), you remain responsible for your own compliance obligations toward those customers; Latchpay processes that data solely to provide the Service to you. 8. Third-party services

The Service relies on third-party providers to operate, including Stripe (payment data and account linking), Paddle (subscription billing), Supabase (authentication and data storage), and Resend (transactional email delivery). Your use of the Service is also subject to the applicable terms of those providers.

9. Disclaimers

The Service is provided "as is" without warranties of any kind, express or implied. We do not guarantee that any failed payment will be recovered, that recovery emails will be delivered or acted upon, or that the Service will be uninterrupted or error-free.

10. Limitation of liability

To the maximum extent permitted by law, Latchpay will not be liable for any indirect, incidental, special, or consequential damages, or for any loss of revenue, profits, or data, arising from your use of the Service. Our total liability for any claim arising out of these Terms will not exceed the amount you paid us in the twelve months preceding the claim.

11. Termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access if you violate these Terms or if we discontinue the Service, with reasonable notice where practicable.

12. Changes to these terms

We may update these Terms from time to time. If we make material changes, we will update the "Last updated" date above. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

13. Governing law

These Terms are governed by the laws of the jurisdiction in which Latchpay operates, without regard to conflict-of-law principles.
